Welcome to Prime Contracts (“Platform,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of Prime Contracts's website, mobile applications, services, lead marketplace, communication tools, and related features.

By creating an account, submitting a service request, purchasing or receiving a lead, contacting another user, or otherwise accessing or using Prime Contracts, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree with these Terms, you must not use Prime Contracts.

1. ABOUT PRIME CONTRACTS

Prime Contracts operates an online marketplace designed to connect individuals and businesses seeking services (“Customers”) with independent businesses, contractors, service providers, and professionals (“Professionals”).

Prime Contracts may provide features that allow Customers to:

  • Search for Professionals;
  • Submit requests for services;
  • Receive responses and quotes;
  • Communicate with Professionals;
  • Compare Professionals;
  • Hire Professionals; and
  • Submit ratings and reviews.

Prime Contracts may allow Professionals to:

  • Create business profiles;
  • Select services and service areas;
  • Receive or view matching lead opportunities;
  • Purchase or unlock leads;
  • Communicate with prospective Customers;
  • Submit quotes;
  • Manage leads and opportunities; and
  • Promote their services through Prime Contracts.

Unless expressly stated otherwise, Prime Contracts does not perform the services advertised or requested through the Platform.

2. MARKETPLACE ONLY — NO CONTRACTOR RELATIONSHIP

Prime Contracts provides technology that facilitates connections between Customers and independent Professionals.

Professionals are independent businesses or individuals and are not employees, agents, partners, joint venturers, representatives, franchisees, or subcontractors of Prime Contracts.

Prime Contracts does not control how a Professional performs a project.

Any agreement for services is entered into directly between the Customer and Professional.

Unless specifically stated otherwise in writing, Prime Contracts is not a party to the contract between a Customer and Professional.

3. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into binding agreements to create an account or use transactional features of Prime Contracts.

By using Prime Contracts, you represent that the information you provide is truthful and that you have authority to enter into these Terms.

Businesses registering Professional accounts represent that the individual creating the account is authorized to act on behalf of the business.

4. USER ACCOUNTS

Certain Prime Contracts features require an account.

Users agree to provide accurate and current information.

You are responsible for maintaining the confidentiality of your login credentials and for activities conducted through your account.

You may not:

  • Create accounts using false identities;
  • Impersonate another person or company;
  • Sell or transfer accounts without authorization;
  • Share accounts to circumvent Prime Contracts rules;
  • Create duplicate accounts to avoid suspension or payment obligations; or
  • Access another user's account without authorization.

Notify Prime Contracts promptly if you believe your account has been compromised.

5. CUSTOMER SERVICE REQUESTS

Customers may submit requests describing services they need.

Customers agree to provide accurate information regarding their project, including:

  • Type of service;
  • Location;
  • Project description;
  • Budget;
  • Requested timeframe;
  • Contact information; and
  • Answers to service-specific questions.

Submitting a request does not guarantee that a Professional will respond, provide a quote, accept the project, or perform the requested services.

Customers must submit genuine service requests.

Customers may not intentionally create false, misleading, fraudulent, duplicate, or fabricated requests.

6. LEAD CREATION AND DISTRIBUTION

Customer service requests may be converted into leads and matched with Professionals based on factors such as:

  • Service category;
  • Service area;
  • Geographic location;
  • Budget;
  • Availability;
  • Professional preferences;
  • Account status;
  • Credentials;
  • Customer requirements; and
  • Other matching criteria.

Prime Contracts does not guarantee that every Professional will receive leads or that every lead will result in contact, a quote, a sale, a contract, revenue, or completed project.

7. PROFESSIONAL ACCOUNTS

Professionals are responsible for maintaining accurate information concerning their:

  • Business;
  • Services;
  • Service areas;
  • Experience;
  • Pricing;
  • Availability;
  • Credentials;
  • Licenses;
  • Registrations;
  • Certifications;
  • Insurance;
  • Portfolio;
  • Contact information; and
  • Other profile information.

Professionals must not claim qualifications, credentials, licenses, registrations, certifications, or insurance that they do not possess.

8. LICENSES, REGISTRATIONS AND PROFESSIONAL CREDENTIALS

Certain services may require licenses, registrations, permits, certifications, insurance, or other credentials depending on the type of service and applicable federal, state, county, or local laws.

Professionals are solely responsible for determining and maintaining all credentials legally required to perform their services.

Prime Contracts may request documentation and may display statuses such as:

  • Verified;
  • Verification Pending;
  • Registration Verified;
  • License Verified;
  • Insurance Verified;
  • Expired; or
  • Not Verified.

An Prime Contracts verification badge indicates only that Prime Contracts performed the verification procedure associated with that badge at a particular time.

It does not constitute an endorsement, warranty, guarantee of workmanship, or representation that a Professional will remain qualified indefinitely.

Professionals must promptly update expired, suspended, revoked, or otherwise invalid credentials.

Prime Contracts may restrict access to certain lead categories when required credentials have not been provided or verified.

9. CUSTOMER RESPONSIBILITY FOR SELECTING PROFESSIONALS

Customers are responsible for deciding which Professional, if any, to hire.

Before hiring a Professional, Customers should independently evaluate information relevant to their project, including credentials, references, insurance, experience, reviews, contracts, permits, pricing, and applicable licensing or registration requirements.

A Professional appearing on Prime Contracts does not constitute a guarantee or endorsement by Prime Contracts.

10. LEAD PURCHASES

Certain leads may require Professionals to pay a fee or use Prime Contracts credits to unlock additional information or contact a prospective Customer.

Before purchasing a lead, Prime Contracts may display:

  • Service category;
  • General location;
  • Project description;
  • Budget;
  • Requested timeframe;
  • Lead age;
  • Lead price; and
  • Number of remaining Professional opportunities.

Additional Customer information may become available after an eligible Professional purchases or unlocks the lead.

Purchasing a lead provides an opportunity to contact a prospective Customer.

Purchasing a lead does not guarantee that the Customer will respond, request a quote, hire the Professional, complete the project, or make any payment to the Professional.

11. COMPETITIVE LEADS

Unless a lead is specifically identified as exclusive, Prime Contracts leads may be made available to multiple Professionals.

Prime Contracts may limit the number of Professionals permitted to purchase or respond to a particular lead.

The number of available Professional positions may vary.

A Professional should not assume that purchasing a lead provides exclusive access to the Customer.

12. CREDITS

Prime Contracts may offer prepaid credits that Professionals can use to purchase leads or other eligible services.

Credit packages and prices may change.

Credits:

  • Have no cash value except where required by law;
  • Cannot ordinarily be transferred between accounts;
  • May only be used for eligible Prime Contracts transactions;
  • May expire where permitted and properly disclosed; and
  • Are subject to these Terms and any additional purchase conditions.

Promotional or complimentary credits may have additional restrictions.

13. PAYMENTS

Payments may be processed through third-party payment processors.

By making a purchase through Prime Contracts, you authorize the applicable charges shown before completing the transaction.

Professionals are responsible for applicable taxes, fees, and other charges associated with their purchases except where Prime Contracts is legally required to collect or remit them.

Prime Contracts does not store complete payment-card information when payments are processed by an authorized third-party payment provider.

14. LEAD REFUND POLICY

Lead purchases are generally final once the Professional has received access to the purchased lead, except as provided by the Prime Contracts refund policy or required by law.

A Professional may be eligible to request a lead credit or refund for circumstances such as:

  • Invalid contact information;
  • A confirmed fraudulent request;
  • A duplicate lead caused by an Prime Contracts error;
  • A Customer confirming they did not submit the request;
  • A material Prime Contracts matching error; or
  • Other circumstances specifically approved by Prime Contracts.

Refund eligibility is determined according to the Prime Contracts refund policy in effect at the time of purchase.

A refund will generally not be provided solely because:

  • The Customer does not answer;
  • The Customer does not return a call;
  • The Customer chooses another Professional;
  • The Professional does not win the project;
  • The Customer changes their mind;
  • The Professional considers the project unprofitable;
  • Another Professional offers a lower price; or
  • The Professional fails to contact the Customer promptly.

Submitting fraudulent refund requests may result in account restrictions or termination.

15. PROFESSIONAL PRICING AND QUOTES

Professionals determine their own prices unless otherwise expressly stated.

Prime Contracts does not guarantee prices displayed or quoted by Professionals.

Customers and Professionals are responsible for agreeing on the final:

  • Scope of work;
  • Price;
  • Deposit;
  • Payment schedule;
  • Materials;
  • Timeline;
  • Warranty;
  • Cancellation terms; and
  • Other project conditions.

Professionals are responsible for complying with applicable consumer-protection and contracting laws.

16. CONTRACTS BETWEEN CUSTOMERS AND PROFESSIONALS

Customers and Professionals are strongly encouraged to use appropriate written contracts for projects.

Unless specifically stated otherwise, Prime Contracts is not responsible for preparing, enforcing, interpreting, or guaranteeing agreements entered into between Customers and Professionals.

17. COMMUNICATIONS

Prime Contracts may provide messaging, email notifications, push notifications, or other communication features.

Users agree not to use these systems to:

  • Harass others;
  • Send spam;
  • Make threats;
  • Engage in unlawful discrimination;
  • Distribute malware;
  • Conduct fraud;
  • Send deceptive solicitations; or
  • Engage in unlawful activity.

Communications may be retained as reasonably necessary for security, dispute resolution, fraud prevention, operation of Prime Contracts, and legal compliance.

18. REVIEWS AND RATINGS

Customers may be permitted to submit reviews concerning Professionals with whom they interacted.

Reviews must reflect genuine experiences.

Users may not:

  • Purchase fake reviews;
  • Review themselves;
  • Create accounts for the purpose of manipulating ratings;
  • Threaten users to obtain favorable reviews;
  • Submit knowingly false statements; or
  • Manipulate the review system.

Prime Contracts may investigate and remove content that violates these Terms.

Prime Contracts does not guarantee the accuracy of every user-submitted review.

19. USER CONTENT

Users may upload content such as:

  • Business descriptions;
  • Photographs;
  • Logos;
  • Portfolio materials;
  • Project descriptions;
  • Reviews;
  • Messages; and
  • Documents.

Users retain ownership of their content but grant Prime Contracts a non-exclusive, worldwide license to host, store, reproduce, display, and process that content as reasonably necessary to operate, secure, promote, and improve Prime Contracts, subject to applicable law and the Prime Contracts Privacy Policy.

Users represent that they have the rights necessary to upload their content.

20. PROHIBITED CONDUCT

Users may not use Prime Contracts to:

  • Commit fraud;
  • Submit fake leads;
  • Sell stolen information;
  • Scrape protected Customer information;
  • Circumvent lead-purchase systems;
  • Access another user's private information;
  • Misrepresent credentials;
  • Perform services unlawfully;
  • Distribute malicious software;
  • Manipulate reviews;
  • Harass or threaten users;
  • Violate intellectual property rights;
  • Interfere with Prime Contracts security;
  • Attempt unauthorized access;
  • Reverse engineer restricted systems where prohibited by law;
  • Use automated systems to improperly harvest leads; or
  • Violate applicable laws or regulations.

21. LEAD INFORMATION AND PRIVACY

Customer information provided through a purchased lead may only be used for legitimate purposes related to responding to that Customer's service request and as otherwise permitted by applicable law.

Professionals may not sell, publish, improperly share, scrape, harvest, or misuse Customer personal information.

Professional access to Customer information may be suspended or terminated for misuse.

22. FRAUD PREVENTION AND PLATFORM SECURITY

Prime Contracts may use automated and manual systems to identify suspicious activity.

This may include evaluating account activity, duplicate submissions, transaction patterns, device or network information where permitted, unusual lead activity, and other security indicators.

Prime Contracts may temporarily restrict accounts or transactions while suspicious activity is reviewed.

23. ACCOUNT SUSPENSION AND TERMINATION

Prime Contracts may suspend, restrict, or terminate accounts for reasons including:

  • Violating these Terms;
  • Fraud;
  • Fake leads;
  • Payment disputes or chargeback abuse;
  • Misuse of Customer information;
  • Misrepresentation;
  • Expired or invalid required credentials;
  • Harassment;
  • Security threats;
  • Repeated policy violations; or
  • Conduct that creates material risk to users or Prime Contracts.

Users remain responsible for legitimate outstanding obligations incurred before termination.

24. NO GUARANTEE OF LEADS OR BUSINESS RESULTS

Prime Contracts does not guarantee:

  • A specific number of leads;
  • Lead availability;
  • Customer responses;
  • Sales;
  • Revenue;
  • Profit;
  • Contracts;
  • Jobs;
  • Conversion rates;
  • Customer quality;
  • Business growth; or
  • Return on investment.

Professionals make independent business decisions when purchasing leads or using Prime Contracts.

25. NO GUARANTEE OF PROFESSIONAL PERFORMANCE

Although Prime Contracts may provide profiles, reviews, credential information, matching tools, or verification features, Prime Contracts cannot guarantee the quality, safety, legality, timeliness, pricing, workmanship, conduct, or outcome of services provided by independent Professionals.

26. DISPUTES BETWEEN CUSTOMERS AND PROFESSIONALS

Customers and Professionals are primarily responsible for resolving disputes arising from services performed or agreements made between them.

These disputes may include disagreements concerning:

  • Pricing;
  • Deposits;
  • Workmanship;
  • Property damage;
  • Delays;
  • Cancellations;
  • Materials;
  • Project scope;
  • Warranties; or
  • Payment.

Prime Contracts may choose to assist with communication or dispute resolution but is not obligated to resolve disputes between users.

27. THIRD-PARTY SERVICES

Prime Contracts may integrate with third parties for services such as:

  • Payment processing;
  • Email;
  • SMS;
  • Maps;
  • Identity verification;
  • Business verification;
  • Analytics; and
  • Cloud infrastructure.

Third-party services may be governed by separate terms and privacy policies.

Prime Contracts is not responsible for third-party services outside its reasonable control.

28. INTELLECTUAL PROPERTY

Prime Contracts's software, design, branding, trademarks, graphics, databases, original content, and other proprietary materials are owned by Prime Contracts or its licensors and are protected by applicable intellectual property laws.

Nothing in these Terms grants users ownership of Prime Contracts intellectual property.

29. PLATFORM AVAILABILITY

Prime Contracts works to maintain reliable availability but does not guarantee uninterrupted operation.

Prime Contracts may occasionally be unavailable because of maintenance, upgrades, technical failures, security events, third-party outages, or circumstances beyond its reasonable control.

30. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIME CONTRACTS IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

PRIME CONTRACTS DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

31. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIME CONTRACTS AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF PRIME CONTRACTS.

THIS INCLUDES, WHERE PERMITTED BY LAW, LOSSES ARISING FROM:

  • LOST BUSINESS;
  • LOST PROFITS;
  • FAILED LEADS;
  • CUSTOMER OR PROFESSIONAL CONDUCT;
  • PROPERTY DAMAGE;
  • PROJECT DISPUTES;
  • USER CONTENT;
  • THIRD-PARTY SERVICES; OR
  • UNAUTHORIZED ACTIVITY OUTSIDE PRIME CONTRACTS'S REASONABLE CONTROL.

Any monetary liability cap should be established in the final legally reviewed version of these Terms.

32. INDEMNIFICATION

To the extent permitted by law, users agree to indemnify and hold harmless Prime Contracts, its owners, affiliates, officers, employees, and agents from third-party claims arising from the user's:

  • Violation of these Terms;
  • Unlawful conduct;
  • Misrepresentation;
  • Services performed;
  • Failure to maintain legally required credentials;
  • Infringement of third-party rights; or
  • Misuse of Prime Contracts.

33. PRIVACY

Use of Prime Contracts is also governed by the Prime Contracts Privacy Policy.

Users should review the Privacy Policy to understand how personal information is collected, used, disclosed, retained, and protected.

34. CHANGES TO PRIME CONTRACTS

Prime Contracts may add, remove, modify, or discontinue features.

Where legally required, users will receive appropriate notice of material changes affecting paid services or their legal rights.

35. CHANGES TO THESE TERMS

Prime Contracts may update these Terms periodically.

The updated Terms will display a revised “Last Updated” date.

Where required by law, Prime Contracts will provide additional notice or obtain consent before material changes become effective.

Continued use after changes become effective constitutes acceptance where permitted by law.

36. GOVERNING LAW

These Terms will be governed by the laws of the State of [Insert State], without regard to conflict-of-law principles, except where applicable law requires otherwise.

37. DISPUTE RESOLUTION

The final Prime Contracts dispute-resolution procedure, including whether arbitration, court proceedings, class-action provisions, or other procedures apply, will be specified before commercial launch and should be reviewed by qualified legal counsel.

Nothing in these Terms prevents users from exercising rights that cannot legally be waived.

38. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

39. ENTIRE AGREEMENT

These Terms, together with the Prime Contracts Privacy Policy, Refund Policy, and any additional policies expressly incorporated into these Terms, constitute the agreement between the user and Prime Contracts concerning use of the Platform.
